{"id":110450,"date":"2021-01-06T17:51:46","date_gmt":"2021-01-07T00:51:46","guid":{"rendered":"http:\/\/www.lankaweb.com\/news\/items\/?p=110450"},"modified":"2021-01-06T17:51:46","modified_gmt":"2021-01-07T00:51:46","slug":"minority-shareholder-seeks-sec-intervention-controversy-over-mtd-walkers-agm","status":"publish","type":"post","link":"https:\/\/www.lankaweb.com\/news\/items\/2021\/01\/06\/minority-shareholder-seeks-sec-intervention-controversy-over-mtd-walkers-agm\/","title":{"rendered":"Minority shareholder seeks SEC intervention: Controversy Over MTD Walkers AGM"},"content":{"rendered":"<h2 style=\"margin-top: 0cm;\"><span style=\"color: #0000ff;\"><em><span style=\"font-family: Arial, sans-serif; letter-spacing: 0.1pt;\">By Anjali Caldera<\/span><\/em><\/span><\/h2>\n\n\n<p>MTD Walkers PLC\u2019s second largest minority\nshareholder Udaya Thuduwewatte accused MTD Walkers Malaysian ownership of\nconducting their Annual General Meeting (AGM) online yesterday illegally, with\nno notice being issued to its minor shareholders.<\/p>\n\n\n\n<p>In a letter drafted to the Securities and Exchange\nCommission (SEC) Sri Lanka, Director General, Thuduwewatte, also the third\nlargest shareholder of the company, complained, that he and many other minority\nshareholders were not informed of nor was a Zoom link sent to them to connect\nto the meeting. &nbsp;<\/p>\n\n\n\n<p>I am a Minority share holder who was present &nbsp; at the\nvirtual meeting&nbsp;<\/p>\n\n\n\n<p>I loudly protested that nothing could be heard during\nthe&nbsp;meeting where I had the intention to exercise my rights to seek answers\nabout the future of the company<\/p>\n\n\n\n<p>I wanted to raise issues about the fact that findings of\nSpecial Audit initiated by SEC currently underway can affect the approval\nstatus of the annual report of the company&nbsp;<\/p>\n\n\n\n<p>But I was not able to raise any issue due to shutting down\n&nbsp;of sound system which think is malicious act by the majority\nshareholders&nbsp;&nbsp;&nbsp;<\/p>\n\n\n\n<p>It looks liked that the owners and the board Secretary has\nbeen in-violation of rights of the share holders as per SEC rules<\/p>\n\n\n\n<p>I strongly suggest to urge Malaysian owners to hold a\nproper AGM in order to clarify the situation of the company<\/p>\n","protected":false},"excerpt":{"rendered":"<p>By Anjali Caldera MTD Walkers PLC\u2019s second largest minority shareholder Udaya Thuduwewatte accused MTD Walkers Malaysian ownership of conducting their Annual General Meeting (AGM) online yesterday illegally, with no notice being issued to its minor shareholders.
